Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the AgentHub platform operated by Lanexa B.V. (“AgentHub”, “we”, “us”), located at agent.lanexa.eu. By accessing or using the platform, you agree to be bound by these Terms.

1. Definitions

  • “Platform” means the AgentHub website, applications, APIs, and all related services.
  • “Supplier” means a business entity registered on the Platform to offer products for European market distribution.
  • “Agent” means a business entity or individual registered on the Platform to represent suppliers and sell products in European markets.
  • “User” means any Supplier, Agent, or visitor accessing the Platform.
  • “Offer” means a product listing created by a Supplier seeking agent representation.
  • “Partnership” means an agreed collaboration between a Supplier and an Agent facilitated through the Platform.

2. Eligibility

To use AgentHub, you must be at least 18 years old and represent a legally registered business entity. By registering, you represent and warrant that:

  • You have the authority to bind the business entity you represent.
  • All registration information is accurate, truthful, and complete.
  • Your use of the Platform complies with all applicable laws and regulations.

3. Account Registration

You must create an account to access platform features. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must notify us immediately of any unauthorized access.

We reserve the right to verify business credentials, request supporting documentation, and suspend or terminate accounts that fail verification.

4. Platform Services

4.1 Marketplace

AgentHub provides a digital marketplace where Suppliers can list products and Agents can discover, evaluate, and apply for representation opportunities. We facilitate the introduction but are not a party to any commercial agreement between Suppliers and Agents.

4.2 Matching

We may suggest potential partnerships based on profile data, product categories, and market preferences. These suggestions are recommendations only and do not constitute endorsements or guarantees.

4.3 Communication Tools

The Platform provides messaging and collaboration tools. All communications through these tools are subject to our Acceptable Use Policy and may be monitored for fraud prevention and dispute resolution.

5. Fees and Commission

AgentHub may charge service fees for premium features, enhanced listings, or transaction facilitation. Current fees are published on our Pricing page. We reserve the right to modify fees with 30 days prior notice.

Commission structures between Suppliers and Agents are agreed upon between the parties. AgentHub is not responsible for commission payments unless using our optional escrow service.

6. Supplier Obligations

Suppliers agree to:

  • Provide accurate product descriptions, specifications, pricing, and certifications (including CE marking where applicable).
  • Fulfil orders in accordance with agreed terms and European product safety standards.
  • Respond to agent inquiries within a reasonable timeframe (48 hours recommended).
  • Not engage with AgentHub-introduced agents outside the platform to circumvent fees during the term of an active partnership.

7. Agent Obligations

Agents agree to:

  • Represent suppliers’ products professionally and in accordance with agreed terms.
  • Provide accurate reports on sales activities and market feedback.
  • Not represent directly competing products from non-platform suppliers in the same territory without disclosure.
  • Comply with all local laws regarding sales representation, import regulations, and tax obligations.

8. Intellectual Property

All content, trademarks, and technology on the AgentHub platform are owned by or licensed to Lanexa B.V. Users retain ownership of their uploaded content but grant AgentHub a non-exclusive, worldwide license to display and distribute it within the platform for service delivery purposes.

9. Prohibited Conduct

Users must not:

  • Post false, misleading, or fraudulent information.
  • List products that violate EU regulations, sanctions, or intellectual property rights.
  • Attempt to circumvent platform fees by taking introductions off-platform.
  • Use automated tools to scrape, crawl, or extract data from the platform.
  • Harass, threaten, or abuse other users.
  • Interfere with platform security or operations.

10. Dispute Resolution

In the event of a dispute between a Supplier and an Agent, the parties should first attempt to resolve the matter directly. If unresolved, AgentHub offers an optional mediation service. We are not obligated to arbitrate or resolve commercial disputes between users.

11. Limitation of Liability

AgentHub acts as a marketplace facilitator and is not a party to commercial transactions between users. To the maximum extent permitted by law:

  • We are not liable for the quality, safety, or legality of listed products.
  • We are not liable for the performance of Suppliers or Agents.
  • Our total liability shall not exceed the fees paid by you to AgentHub in the 12 months preceding the claim.
  • We are not liable for indirect, consequential, or punitive damages.

12. Termination

You may close your account at any time. We may suspend or terminate accounts for violations of these Terms, suspected fraud, or inactivity exceeding 12 months. Upon termination, your right to use the Platform ceases, but provisions regarding liability, intellectual property, and dispute resolution survive.

13. Modifications

We may update these Terms from time to time. Material changes will be communicated via email or platform notification at least 30 days before taking effect. Continued use of the Platform after changes constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of the Netherlands. Any disputes arising from these Terms that cannot be resolved amicably shall be submitted to the competent courts of Amsterdam, the Netherlands, without prejudice to your rights under mandatory consumer protection laws of your country of residence.
